Purpose
These terms and conditions govern access to and use of Ecomptimize, an online product-catalog optimization service for Shopify and WooCommerce merchants. The service is published by KARA, a French limited liability company (SARL) with share capital of €7,624 (SIREN 439 639 618, Montpellier Trade and Companies Register), whose registered office is located at Route de Palavas, Chemin Saint-Hubert, 34970 Lattes, France.
Eligible users and account creation
The service is primarily intended for professionals (merchants, companies, sole proprietors) acting within the scope of their economic activity. It remains accessible to adult consumers within the meaning of the French Consumer Code, subject to the provisions relating to the right of withdrawal described below. Account creation is free and requires a valid email address. The client undertakes to provide accurate information and to keep their credentials confidential.
Pricing and payment
Optimizations are billed per processed product at the rate displayed before launch. No mandatory subscription and no Ecomptimize order minimum apply. Payment is processed through Stripe. If your account has available balance, the confirmed amount is deducted from that balance. If the balance is insufficient, only the missing amount is charged through Stripe. A technical payment minimum may apply depending on payment provider constraints, without being an amount imposed by Ecomptimize. Prices may be displayed in EUR or USD depending on the applicable billing currency; that currency may be locked after a first successful payment.
Service delivery
Ecomptimize processes uploaded CSV and XLSX files, applies AI-assisted optimizations on text fields (titles, descriptions, SEO attributes, etc.), and returns an exportable file ready to be re-imported into the client's platform. The XLSM format is not supported. Files are kept for 30 days after the run completes, then automatically purged.
Right of withdrawal and refund policy
For professional clients, the right of withdrawal provided for under the French Consumer Code does not apply. For consumer clients, under Articles L221-18 and L221-28 1° of the French Consumer Code, the consumer has a 14-day period to exercise their right of withdrawal, unless they have expressly waived it for a service fully performed before the end of that period. By launching the execution of an order from the interface, the consumer expressly requests immediate performance of the service and expressly waives their right of withdrawal for that order, which is fully performed as soon as execution ends. Successfully completed runs are accordingly non-refundable. A run that fails due to an error attributable to Ecomptimize will be re-credited in equivalent amount to the client's account.
Liability
The service is provided as is and as available. The editor's liability is limited to the amount paid by the client during the three months preceding the triggering event. The editor is not liable for the consequences of a re-import on the client's e-commerce platform (irreversible changes, mapping conflicts, data loss at the client's third-party host). The client is solely responsible for backing up their catalog before any re-import.
Governing law and jurisdiction
These terms are governed by French law. In the event of a dispute, the parties shall endeavour to reach an amicable settlement before any judicial action. Failing that, the French courts having jurisdiction over the editor's registered office shall have exclusive jurisdiction. The French version of these terms shall prevail in the event of any discrepancy with a translation.
